To legally resell goods in California, you need three things at minimum:
Total startup cost for the paperwork: $50-$200 depending on your jurisdiction. The seller's permit itself is free. Most of this can be done in a single afternoon online.
A Seller's Permit (also called a "resale license" or "sales tax permit") is issued by the California Department of Tax and Fee Administration (CDTFA). It authorizes you to collect sales tax on taxable sales and to issue resale certificates when purchasing inventory for resale.

2 Select "Register a New Business" โ "Sales and Use Tax".
3 Provide required information:

5 Print or save it. Physical copy arrives by mail in 7-10 days.

The Resale Certificate (Form CDTFA-230) is a document you give to your suppliers to buy inventory without paying sales tax at the point of purchase. You're not exempt from tax โ you're deferring it. You collect sales tax from the end buyer when you resell the item.

The Menlo Park area near Colby Ave and Menlo Oaks Dr is unincorporated San Mateo County, not the City of Menlo Park. This matters because your business license comes from the county, not the city.

California has a statewide base rate of 7.25%. Local district taxes add to this. Your effective rate depends on where the sale occurs (or where the item is shipped to).

CDTFA assigns your filing frequency based on estimated tax liability:
Use tax applies when you buy inventory from out-of-state sellers who don't charge California sales tax. The rate is the same as sales tax. If you buy 50 phone cases from a Shenzhen supplier on Alibaba and don't pay CA tax, you owe use tax on your purchase price โ unless you resell all of them (in which case you collect sales tax from buyers).
Items you pull from inventory for personal use also trigger use tax.
Even if you made no sales in a reporting period, you must file a return showing $0. Failing to file โ even a zero return โ triggers penalties and interest. CDTFA does not assume silence means no sales.

This is the single most important thing for online resellers to understand. Under California AB 147 (effective October 2019), marketplace facilitators โ platforms like eBay, Amazon, Poshmark, Mercari, StockX, and GOAT โ are required to collect and remit sales tax on your behalf for sales made through their platform.
If you sell exclusively through major platforms, you do not need to collect or remit sales tax yourself for those sales. The platform handles it. However:

If you only sell on marketplace platforms (eBay, Amazon, Poshmark, Mercari) โ you technically don't need TaxJar or Avalara because the platforms collect tax for you. You need bookkeeping (My Reseller Genie or QuickBooks) to track COGS and profit for your income tax return (Schedule C).
If you sell on your own website or in-person โ you need TaxJar or Avalara to handle sales tax collection and filing.
This is tax fraud. CA R&T Code ยง6094.5 imposes a 10% penalty on the tax owed plus interest. The CDTFA audits resale certificate usage. Don't buy a TV "for resale" and put it in your living room.
Had a slow quarter? Still file. CDTFA charges penalties for unfiled returns even when no tax is due. Set a calendar reminder for your filing deadlines.
If you pull inventory for personal use or buy supplies from out-of-state, you owe use tax. The CDTFA will find out โ they cross-reference your seller's permit with your filed returns and look for purchase/sale mismatches.
Your income tax (federal + CA state) is on profit, not revenue. If you sell $50K on eBay but spent $30K on inventory, you owe tax on $20K. But only if you tracked COGS. Without records, the IRS assumes your COGS is zero and taxes the full $50K.
The IRS and CDTFA don't care what you call it. If you're buying items with the intent to resell for profit โ repeatedly โ it's a business. The $600 1099-K threshold means platforms report your sales to the IRS. You need to report them too.
Fines for operating without a license vary by jurisdiction. San Mateo County can impose penalties retroactive to when you started. It's $50 โ just get it.
Open a separate checking account. It doesn't have to be a "business" account โ a free personal checking account that you use only for reselling works fine. This makes bookkeeping, audits, and tax prep dramatically easier.
As of 2024, platforms report sales exceeding $600 (down from the previous $20,000 / 200 transactions). This means almost every active reseller gets a 1099-K. The IRS sees it. Report it.
